Shopify seller license guide

Shopify lets you build a store and take orders. It does not give you government permission to run a business. A Shopify seller may need a city or county business license, a state sales tax account, home-business approval, a name filing, or a product permit. The answer depends on where you work, what you sell, where inventory is stored, and which Shopify sales channel completes the order.
Bottom line
There is no national “Shopify business license.” Many Shopify sellers still need one or more government registrations. Start with the city or county where you run the store, then check your state tax agency. Add product rules if you sell food, cosmetics, children’s goods, alcohol, imported items, or another regulated product.
Do not treat Shopify approval, Shopify Payments verification, an LLC, a DBA, a seller’s permit, and a local business license as the same thing. Each one serves a different purpose.
Quick start: the six checks to make first
- Name your real operating location. This may be your home, office, studio, warehouse, or the place where you manage orders and records.
- List how customers buy. Separate orders placed on your Shopify Online Store, directly in the Shop channel, at Shopify POS, and through other marketplaces.
- Ask your city or county about local registration and zoning. Online-only businesses can still be regulated at the place where they operate.
- Ask your state tax agency about taxable sales. The account may be called a seller’s permit, sales tax permit, vendor license, Certificate of Authority, or another name.
- Check your product. Food, cosmetics, toys, alcohol, imported goods, and other regulated items can need rules beyond a basic license.
- Set Shopify tax tools only after you know your registrations. Software settings do not decide whether the law requires you to register.
The five rule layers for a Shopify seller
A Shopify store can be affected by several rule layers at once. The broad guide on business licenses for online businesses explains the same location-based problem, but Shopify sellers also need to separate their Online Store orders from orders completed inside Shop.

Shopify rules are not government licenses
You can often build a Shopify store before you finish every government step. That does not mean you are ready to take orders. Shopify’s Acceptable Use Policy says merchants cannot use Shopify for activity that is illegal where they do business. Government agencies still decide whether your location, product, tax setup, or profession needs approval.
Shopify Payments verification is not a business license
Shopify Payments may ask for personal information, business information, bank details, or documents. Its United States requirements page also explains that some business types are not eligible. Passing this review only means the payment service accepted your account. It does not replace a seller’s permit, local license, zoning approval, professional license, or product permit.
Online Store orders and Shop orders are not the same
This distinction matters for sales tax. Products sold directly in the Shop channel are completed inside Shop. Products shown in Shop but set to “link to online store” send the buyer to your own Shopify checkout. Shopify explains these two selling methods in its Shop channel setup guide.
Important: Do not look only at the Shop app logo or Shop Pay button. Find out which sales channel completed the order. Tax handling can differ between a direct Shop order and an order completed on your Shopify Online Store.
State sales tax and seller’s permits
Most physical products are taxable in many states, but the rules are not identical. Some states also tax certain digital products, services, subscriptions, or delivery charges. Your normal Shopify Online Store sales
Shopify says tax remains the merchant’s responsibility unless the merchant uses Shopify Tax and completes automated filing setup. Its current tax guidance says merchants should confirm rates, filing, and payment duties with the tax authority or a tax professional.
First decide where your business has sales tax responsibility. A connection to a state is often called “nexus.” It may come from your home, office, employees, inventory, warehouse use, delivery activity, or sales levels. Shopify’s tax liability overview can help you organize the issue, but the state tax agency is the final source.
Direct sales through the Shop channel
Shopify states that, as of January 1, 2025, the Shop channel automatically collects, remits, and files sales tax for orders shipping to or within the United States. Read the current Shop sales tax page before relying on that treatment. This rule does not automatically cover orders completed on your own Online Store, Shopify POS sales, wholesale sales, or sales on another platform.
Automated filing does not create a state tax account
Shopify Tax can file returns after you set it up, but you still need the correct state registrations. Shopify’s automated filing setup instructions currently say each state return must be configured and that setup is generally due by the 20th of the month before the next filing is due. Check the page again when you enroll because platform dates and supported steps can change.

Seller’s permit vs resale certificate: The seller’s permit or sales tax account is generally the state registration used for taxable sales and tax returns. A resale certificate is generally given to a supplier when you buy qualifying inventory for resale. It is not permission to operate a business, and it should not be used for equipment or personal purchases.
City and county licenses for Shopify sellers
Your local government may care about the place where you manage the store, pack boxes, store products, receive deliveries, or allow pickup. It may not matter that customers never enter a storefront. The guide on selling online from home gives a fuller home-based checklist.
Common local terms include business license, business tax certificate, business tax receipt, occupational tax certificate, privilege license, or local business registration. Some cities have no general license but regulate certain activities. Some counties handle licensing only outside city limits. Ask both offices when you are unsure.
Home occupation and zoning checks
The SBA explains that business location affects zoning, taxes, and regulations. Use its business location guidance, then contact the planning or zoning office for your exact address.
Tell the office whether you:
- Store inventory in a bedroom, garage, shed, or storage unit.
- Receive frequent freight, postal, or courier deliveries.
- Have workers come to the home.
- Allow customer pickup, returns, fittings, or appointments.
- Use equipment, chemicals, heat, food preparation, or loud machinery.
- Place signs outside or use street parking for business traffic.

Lease and HOA rules are separate. A city may allow the business while a lease, condo rule, or homeowners association restricts commercial storage, signs, visitors, or deliveries. Private approval does not replace government approval, and government approval does not cancel a private restriction.
LLC, DBA, EIN, and store-name checks

The SBA’s business registration page explains that DBA filing locations differ by state and may involve a county or state office. Search your state and county rules before using a Shopify store name that differs from your legal owner or entity name.
The IRS EIN page explains who generally needs an EIN and provides the free federal process. Do not pay a private filing site just because it appears above the IRS in search results.
A state entity-name approval or DBA filing also does not settle trademark rights. Search the USPTO trademark database and consider qualified help when a brand name is important to your business.
What changes with your Shopify operating model
Home-based inventory seller
Check local business registration, zoning, home occupation rules, delivery traffic, storage limits, and fire or building concerns. Also check state sales tax and product rules.
Dropshipping seller
No boxes at home may reduce local storage issues, but it does not remove local licensing, sales tax, advertising, product safety, refund, or import concerns. Confirm who is the importer of record and who handles returns.
Print-on-demand seller
Check local registration and state tax rules. Review the supplier agreement, product labeling, intellectual-property rights, and where orders are produced and shipped.
Digital product or service seller
Tax treatment varies by state. A professional license may apply if the service is regulated. A city or county may still require local registration where you work.
Warehouse or 3PL user
Inventory held by a third-party logistics company can create state tax questions. Keep a current list of warehouse states and ask each relevant state tax agency what registration or filing is required.
Multi-channel seller

Products that may need more than a basic license
The product can be more important than the platform. Shopify may provide a checkout, but federal, state, and local agencies control safety, labeling, manufacturing, food handling, alcohol, and import requirements.

Do not assume a supplier made the product legal. A Shopify seller can still have duties as the manufacturer, importer, private-label owner, distributor, or retailer. Ask for testing, certificates, labels, recall procedures, and importer information before listing a regulated product.
Two real-world Shopify examples
Example 1: T-shirt store using print on demand
A seller designs shirts at home. A supplier prints and ships each order. The seller may have no inventory at home, but the city may still require a local business registration. The state may tax clothing or related charges. The seller should also confirm rights to artwork and brand names. Shopify Payments approval would not replace these checks.
Example 2: Candle seller storing stock in a garage
This seller may need a state sales tax account and a city business license. The garage use, wax heating, fragrance oils, storage volume, delivery traffic, and customer pickup may raise zoning, fire, building, or home occupation questions. Product labels and safety claims should also be reviewed. The answer is more complex than “I only sell online.”
Common mistakes Shopify sellers make
- Launching because Shopify accepted the store. Platform access is not government approval.
- Collecting tax everywhere without registering. Confirm state responsibility first. Many states require registration before collection.
- Assuming Shop handles every Shopify order. Direct Shop orders and Online Store orders can have different tax treatment.
- Forming an LLC and stopping there. Entity formation does not replace licenses, tax accounts, zoning, or product permits.
- Using a resale certificate for supplies or personal items. Resale documents are generally for qualifying items bought for resale.
- Ignoring inventory location. Home storage and third-party warehouses can change local and state checks.
- Trusting a dropship supplier without records. The seller may still face product safety, import, refund, and customer claims.
- Copying another store’s tax setup. Taxability and nexus depend on your products, locations, channels, and sales.
- Forgetting renewals and zero-sales returns. Some licenses renew, and some tax accounts require returns even when no tax is due.
What to ask the agencies
