Worcester city requirements
Business Certificate with the City Clerk
Worcester calls its local trade-name filing a Business Certificate. The City Clerk says persons or corporations doing business in Worcester under a company name generally must file. Massachusetts General Laws Chapter 110, Section 5 is the state law behind the filing and generally focuses on doing business under a title other than the person’s real name.
The Worcester page says the certificate is valid for four years and can be renewed. The proper form must be notarized and signed in black ink. The city provides a separate sole proprietor/partnership form and corporation/LLC form. The filing fee is $50; the city also lists certified-copy and discontinuance fees.
If the business closes, moves, changes the owner’s residence, or an owner withdraws, review the City Clerk’s discontinuance instructions. Do not use the Business Certificate as proof that the location is approved for your use.
Zoning, home occupations, signs, and occupancy
Check the location before you sign a long lease. Worcester Building & Zoning issues permits for construction, alterations, demolition, and changes in use. A business moving into an existing commercial space can still need review if the new use is different. The city explains that a change of use may require a new Certificate of Occupancy even when no physical construction is planned.
For ordinary home occupations, Worcester’s current zoning ordinance keeps specific limits. The dwelling must remain the operator’s principal home, the business must stay secondary to the residential use, and the ordinance limits items such as nonresident employees, floor area, exterior changes, signs, noise, equipment, and outside-visible storage or display. A home business that brings customers, deliveries, workers, inventory, food production, or unusual equipment should be checked more carefully because another local or state rule may apply.
For an ordinary home occupation, start with Worcester’s local zoning rules. Food, residential kitchens, mobile food, and health permits
Worcester Inspectional Services says all food-related businesses require licenses or permits and inspections before operation. Its current Food Protection list includes bakery, commissary kitchen, food and drink establishments, retail food, farmers markets, mobile food vendors, seasonal concessions, catered events, and temporary food permits.
A home kitchen is not automatically treated like an ordinary home office. Massachusetts 105 CMR 590 food rules and guidance say a residential kitchen producing cottage food for direct sale to consumers requires a retail permit from the local board of health; wholesale residential-kitchen activity follows a different state licensing path. A food truck can require more than the health permit. Worcester lists a Mobile Food Vendor permit through Food Protection, while the Police License Division separately lists a Hawker and Peddler/Street Vendor Permit for mobile or stationary vendors. License Commission, alcohol, food service, lodging, and entertainment
The Worcester License Commission handles several activity-based licenses. Its current page lists Common Victualer (Food), lodging, yearly and one-day entertainment, outdoor dining, marijuana retail, and other licenses. Some applications are available directly through the city portal.
If you plan to sell alcohol, Worcester is the local licensing authority and the Massachusetts ABCC is the state layer. Start with the License Commission and the ABCC local retail license page. New retail alcohol applications need local approval and ABCC approval, so build extra time into the opening plan.
Future fee: Worcester says certified abutters lists will cost $25 starting January 1, 2027. Verify the fee if your application requires one after that date.
Fire inspections and safety approvals
Some businesses need Fire Prevention review, permits, testing, or inspection. Worcester Fire lists annual inspections for restaurants, bars, and nightclubs with liquor licenses and handles fire-protection systems and other fire-safety items. Federal steps that may apply
Many businesses need an EIN for federal tax or employer purposes. The IRS provides its EIN application directly and says the EIN itself is free. If you are forming a corporation or LLC, the IRS says to form the entity with the state before applying for the EIN.

FinCEN finalized its BOI rule on August 11, 2026. U.S.-created companies remain exempt from BOI reporting, while certain foreign companies registered to do business in the United States can still have reporting duties. The domestic exemption already existed before this review period, so the August action finalized the rule rather than creating a new domestic exemption. Check FinCEN BOI if a foreign entity may be involved.

What does this mean for me?
If you run a simple home-based service business, your local steps may be light, but you still need to check Worcester home-occupation rules, the business name, taxes, and any state professional license. Food made for sale from a home kitchen follows a separate food-permit path.
